The more obvious difference is that your new tires have more rubber on them
and therefore will have a larger diameter then your old tires.

Yes to both- but not just anyone can (or should) do this. I suggest you 
take the car to a Pantera specialist in your area- such as Precision 
Proformance or Wilkinson, and ask them for a professional opinion. We're all
guessing 
without the thing in front of us, and most on this forum couldn't personally

correct it anyway. I certainly couldn't pound clearance into your completed 
flairs in an acceptible manner! 
As you say- bodywork can change the flairs to clear, or adjustable rear 
shocks can raise the rear up a bit,   This not only gives too-big tires more

clearance, it establishes a desirable nose-low tilt called a 'rake' that 
improves high speed handling. A custom suspension can help. Its a lot of
work 
(read, $$$) to do any of these, so ask yourself- is the extra 2% traction
you 
MAY get from running the absolute maximum width tire under your car worth 
this trouble & expense? Perhaps a smaller-section rear tire might still
allow 
you to bend around corners just as fast with no further mods at all?   Good
