Because they would not be spending cash, they would be swapping ownership (49% of GMAC for 80% of Chrysler).  And GM would get the billions Chrysler has sitting in the bank to keep their operations liquid.

If they axe all the products except the minivan and Jeep, axe all the dealerships and
employees, then it seems like GM is willing to spend $11B to buy the Jeep name and have
Chrysler go away......am I missing something here?? GM is considering axing Hummer,
why buy Jeep?? The market seems to be moving from minivans to crossovers, why
buy the minivan?? Why pay to have Chrysler go away......just wait a few more months
and Chrysler will go away for free.......I'm not getting this.....?????
